Loop Customer Partner Program Agreement

Version v1.0

Welcome to the Loop Customer Partner Program. This agreement is between you ("Partner," "you") and HORFTECH, a brand of Horizon Flights Corporation ("Loop Customer," "Loop," "we," "us"), which operates the Loop Customer wallet-loyalty platform. By joining the program, creating a partner account, or clicking to accept, you agree to these terms.

We've kept this short and human. Please read it.

1. What you do

You refer merchants to Loop Customer. When one of your referrals signs up and their first paid invoice clears, that's a qualified referral and you start earning.

2. Playing fair

To keep a referral qualified, you must play it straight:

  • No self-referrals. You can't refer yourself, your own business, or accounts you control.
  • No spam. No unsolicited bulk email, SMS, or DMs.
  • No brand bidding. Don't run paid search ads on the "Loop," "Loop Customer," or related brand terms.
  • No misrepresentation. Don't promise things we don't offer, fake an affiliation, or mislead anyone about who we are or what Loop does.

We may void any referral that breaks these rules.

3. What you earn

Resellers: Your commission rate, structure, and qualifying terms are shown in your partner dashboard. Rates vary by partner, so the dashboard is always the source of truth — please check it there.

Influencers: You earn a $50 bounty when your referred merchant first pays, plus another $50 if that same merchant still has an active paid subscription at day 90 (month 3). The day-90 bonus only pays if the subscription is genuinely still active and paid at that point.

4. Holds and clawbacks

All earnings sit on a 7-day hold before they're payable — this gives refunds time to settle. If a referred merchant refunds or charges back, the related commission is automatically clawed back and removed from your balance, even if it was already counted.

5. Getting paid

  • Payouts run monthly via Stripe.
  • There's a $25 minimum. If your balance is under $25, it rolls over to the next month until you cross the threshold.
  • Loop never stores your bank details. Stripe handles payment information directly and securely.

6. You're independent

You are an independent contractor, not an employee, agent, or partner of Loop in the legal sense. You can't sign contracts or make promises on our behalf. You're responsible for your own taxes. Stripe collects your tax information and will issue a 1099 where required.

7. Disclose your posts (FTC)

If you promote Loop Customer, the law requires you to clearly disclose that it's a paid or incentivized relationship. Mark promotional posts with #ad or #partner (or an equally clear label) so your audience knows.

8. Changes

We may update these terms — including commission terms — for future referrals with 30 days' notice. Changes don't retroactively affect referrals you've already qualified.

9. Ending the program

Either of us can end this at any time, for any reason, with no hard feelings. If you've already earned a commission under these terms, we'll still pay it out (subject to the holds and clawback rules above). Referrals not yet qualified at termination won't earn.

10. Limitation of liability

Loop Customer provides the program "as is." To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits or opportunities. Our total liability to you under this agreement is limited to the total commissions paid (or payable) to you in the 3 months before the event giving rise to the claim. Some jurisdictions don't allow certain limits, so parts of this may not apply to you.
